	Vital Web Login Page Username:     Password:     Terms of Use End User License Agreement for VITAL WEB and VITAL IMAGING Services Software VITAL WEB and VITAL IMAGING by Vital Records Control, Inc. and all affiliated companies IMPORTANT - READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the supplier ("VRC") of Vital Web and Vital Imaging ("Software Product"). By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, VRC is unwilling to license the Software Product to you. In such event, you may not use or copy the Software Product, and you should promptly contact VRC for instructions on return of the Software Product. SOFTWARE PRODUCT LICENSE The Software Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The software product is licensed, not sold. 1. Grant of License. This EULA grants you the following rights: Software. You may use one copy of the Software Product on the computer per contracted user id and password. Network Services. If the Software Product includes functionality that enables the computer to act as a network server, any number of computers or workstations may access or otherwise utilize the basic network services of that server as long as the numbers of users does not exceed the contracted number of user ids and passwords. User Id & Password. These may only be issued by and are the sole property of VRC. 2. Description of Other Rights and Limitations Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the Software Product. Separation of Components. The Software Product is licensed as a single product. Its component parts may not be separated for use on more than one computer. Rental. You may not rent or lease the Software Product. Termination. Without prejudice to any other rights, VRC may terminate the EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software Product and all of its component parts. 3. Copyright. All title and copyrights in and to the Software Product (including but not limited to any images, photographs, animations, video, audio, text and "applets" incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product, are owned by VRC. The Software Product is protected by copyright laws and international treaty provisions. You may not copy the printed materials accompanying the software product. 4. Dual-Media Software. You may receive the Software Product in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for your single computer. You may not medium to another user, use or install the other medium on another computer. 5. Access and Ownership of Database. Customer will be given access to the Software Product and database used and/or compiled in connection with Customer's information storage (hereinafter the "Database"), and will be permitted to use the Software Product to access the Database. Customer acknowledges and agrees that the Software Product and the Database and all permitted copies are NST/IVS' exclusive property and constitute a valuable trade secret to NST/IVS. Customer agrees that it will not disclose or make available to third parties either the Software Product or the Database or any portion thereof. Customer shall use the Software Product and the Database and all information obtained therefrom, solely for its internal purposes. Customer shall be responsible for maintaining the security and confidentiality of the Database. Since it is anticipated that Customer from time to time may make changes in the information in the Database, Customer will be responsible for the security and integrity of the Database. 6. Termination. Upon termination, cancellation or expiration of the Service Agreement, Customer shall immediately return to NST/IVS all copies of the Software Product and the Database. 7. Liability and Indemnification. Each party shall be strictly liable for maintaining the confidentiality and security of the Database and for preventing any unauthorized reproduction or use of the Database. Customer agrees that any services (including inventory tracking services) provided under the End User License Agreement are subject to the liability terms and damage limits as more fully set forth in Section 5 of the Lease. In the event of any breach of this End User License Agreement by Customer, VRC shall have the right to seek immediate injunctive relief and pursue all other remedies available to it. Customer shall indemnify and hold harmless VRC from any and all costs, expenses and damages arising from a breach of this End User License Agreement, including, but not limited to, reasonable attorneys fees incurred by VRC as a result of such breach.
